1. Acceptance of Terms

Welcome to Cueflow. These Terms of Service ("Terms") govern your access to and use of the Cueflow platform, including our website at cueflow.so, the application at app.cueflow.so, the embed script, APIs, and all related services (collectively, the "Service").

By accessing or using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of an organization, you represent and warrant that you have authority to bind that organization to these Terms.

If you do not agree to these Terms, you may not access or use the Service.

2. Description of Service

Cueflow is an in-app messaging platform that enables you to create and deliver targeted messages to your users, including:

• Banners and announcements
• Modal dialogs and popups
• Onboarding checklists
• Feedback surveys and NPS collection
• Product changelogs

The Service includes a web-based dashboard for creating and managing messages, an embed script for displaying messages to your users, and APIs for programmatic access.

3. Account Registration

To use the Service, you must create an account. When creating your account, you agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Keep your login credentials secure and confidential
• Notify us immediately of any unauthorized access to your account
• Accept responsibility for all activities that occur under your account

You must be at least 18 years old to create an account and use the Service.

4. Workspaces and Team Members

Cueflow uses a workspace model for organizing your account:

• You may create multiple workspaces under your account
• You may invite team members to collaborate within a workspace
• Workspace administrators are responsible for managing member access and permissions
• Each workspace maintains separate data, settings, and billing

You are responsible for all activities conducted within your workspaces, including actions taken by team members you have invited.

5. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree NOT to:

• Violate any applicable laws, regulations, or third-party rights
• Send spam, unsolicited messages, or deceptive content through the Service
• Use the Service to harass, abuse, or harm others
• Distribute malware, viruses, or other harmful code
• Attempt to gain unauthorized access to the Service or its related systems
• Interfere with or disrupt the integrity or performance of the Service
• Reverse engineer, decompile, or disassemble the Service
• Use the Service to collect data in violation of privacy laws
• Resell, sublicense, or redistribute the Service without authorization
• Use the Service in a manner that could damage, disable, or impair Cueflow

6. Your Content

"Your Content" means any content you create, upload, or transmit through the Service, including messages, images, text, and configuration data.

6.1 Ownership

You retain all ownership rights to Your Content. Cueflow does not claim ownership over any of Your Content.

6.2 License

By using the Service, you grant Cueflow a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display Your Content solely to the extent necessary to provide the Service to you.

6.3 Responsibility

You are solely responsible for Your Content and the consequences of sharing it through the Service. You represent that you have all necessary rights to Your Content and that it does not violate any third-party rights.

7. End User Data

When you use the Cueflow embed script or APIs, you may collect and process data about your end users. You acknowledge and agree that:

• You are the data controller for your end users' personal data
• Cueflow acts as a data processor, processing end user data on your behalf
• You are responsible for obtaining any necessary consents from your end users
• You must have a privacy policy that discloses your use of third-party services like Cueflow
• You will comply with all applicable data protection laws, including GDPR and CCPA

8. Subscription and Payment

8.1 Free Plan

Cueflow offers a free plan with limited features. The free plan is provided "as is" and may be modified or discontinued at any time.

8.2 Paid Plans

Paid subscriptions are billed in advance on a monthly or annual basis. By subscribing to a paid plan, you authorize us to charge your payment method for the applicable fees.

8.3 Refunds

Subscription fees are non-refundable, except as required by law or as explicitly stated in these Terms. If you cancel your subscription, you will retain access until the end of your current billing period.

8.4 Price Changes

We may change our prices at any time. Price changes will take effect at the start of your next billing cycle. We will provide you with reasonable notice of any price changes.

9. Intellectual Property

The Service, including its original content, features, and functionality, is owned by Cueflow and is protected by copyright, trademark, and other intellectual property laws.

The Cueflow name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Cueflow. You may not use such marks without our prior written permission.

We grant you a limited, non-exclusive, non-transferable license to access and use the Service for your internal business purposes, subject to these Terms.

10. API Usage

If you use the Cueflow API, you agree to:

• Keep your API keys confidential and secure
• Not share API keys or allow unauthorized access
• Comply with any rate limits or usage restrictions
• Use the API only for purposes permitted by these Terms

We may suspend or revoke API access if we detect abuse, excessive usage, or violations of these Terms.

11. Disclaimers and Limitations

11.1 Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, secure, or error-free, or that defects will be corrected.

11.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CUEFLOW SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

12. Indemnification

You agree to indemnify, defend, and hold harmless Cueflow, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with:

• Your access to or use of the Service
• Your violation of these Terms
• Your violation of any third-party rights
• Your Content or end user data you process through the Service

13. Termination

You may terminate your account at any time by contacting us or using the account deletion feature in the Service.

We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice, including if we believe you have violated these Terms.

Upon termination:

• Your right to use the Service will immediately cease
• You remain liable for any fees owed prior to termination
• We may delete Your Content and data after a reasonable period
• Provisions that by their nature should survive will survive termination

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last updated" date.

Your continued use of the Service after any changes constitutes your acceptance of the new Terms. If you do not agree to the modified Terms, you must stop using the Service.

15. Governing Law and Disputes

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Cueflow is established, without regard to its conflict of law provisions.

Any disputes arising from or relating to these Terms or the Service shall be resolved through good-faith negotiations. If a dispute cannot be resolved through negotiations, it shall be submitted to binding arbitration or the courts of competent jurisdiction.

16. Miscellaneous

• Entire Agreement: These Terms constitute the entire agreement between you and Cueflow regarding the Service.
• Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in effect.
• Waiver: Our failure to enforce any right or provision of these Terms will not be considered a waiver.
• Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.
• Force Majeure: We shall not be liable for any failure or delay due to circumstances beyond our reasonable control.
